Preamble

This End User License Agreement governs the use of the software “VinylSafe” between

(“Licensor”) and the natural or legal person who installs and/or uses the software (“Licensee”).

By installing, unlocking via a license file, or using the software, the Licensee agrees to the terms of this Agreement. If the Licensee does not agree to these terms, the software must not be installed or used.

1. Grant of License

1.1 The Licensor grants the Licensee a simple (non-exclusive), non-transferable, and non-sublicensable right to use the software in accordance with this Agreement.

1.2 The license is bound to a single, technically identified device. The license file required for use is issued specifically for that device. Changing devices requires requesting a new license file from the Licensor.

1.3 Sharing the license file with third parties is not permitted.

2. Term

2.1 The license is unlimited in time.

3. Restrictions on Use

3.1 The Licensee is not entitled to reproduce, rent, lend, sell, or otherwise distribute the software to third parties, except for the intended installation on the licensed device.

3.2 Reverse engineering expressly permitted: Notwithstanding restrictions customary in standard license agreements, the Licensor expressly permits the Licensee to decompile, disassemble, or otherwise examine the operating principles of the software (reverse engineering), including beyond any exceptions already mandated by applicable law.

4. Reservation of Rights

4.1 The software, together with all associated copyrights, trademarks, and other intellectual property rights, remains the property of the Licensor. This Agreement grants the Licensee solely a right of use under Section 1, but no ownership of the software or its source code.

5. Data Protection and Data Transmission

5.1 The software does not collect, store, or transmit any personal or other usage data whatsoever.

5.2 The software never establishes an internet connection and does not create any cookies or comparable tracking mechanisms.

5.3 License validation is performed entirely locally on the Licensee’s device, without any communication with the Licensor or third parties.

6. Disclaimer of Warranty

6.1 The software provides only an informational assessment of whether a digital audio master is likely to be suitable for vinyl cutting without major technical limitations. It makes no binding statement and no prediction as to how the finished record will actually sound compared to the digital master.

6.2 The actual sonic result depends, among other things, on the cutting lathe used, the chosen cutting parameters, the pressing process, and the cartridge and turntable quality used for playback – factors the software has no influence over and cannot assess.

6.3 The Licensee is expressly advised to consult a mastering or cutting engineer before pressing.

7. Limitation of Liability

7.1 The Licensor’s liability is unlimited for damages arising from injury to life, body, or health, as well as for damages caused by the Licensor’s intent or gross negligence.

7.2 Beyond this, the Licensor’s liability is excluded, in particular for:

even if the software previously displayed a positive assessment (“Green”).

7.3 The limitations of liability under this Section 7 do not apply where liability cannot be excluded under mandatory statutory provisions (e.g., product liability law).

8. No Entitlement to Updates

8.1 The Licensee has no entitlement to updates, bug fixes, further development, or other updates to the software. The Licensor is under no obligation to provide such updates.

9. Third-Party Components

9.1 The software includes third-party components that are subject to their own license terms. These include, in particular:

10. Reporting Issues and Contact

10.1 Bugs, technical problems, or questions regarding the license may be reported to the following address: info@vinylsafe.de

10.2 There is no obligation to process or resolve reported issues within any particular timeframe (see also Section 8).

11. Governing Law and Jurisdiction

11.1 This Agreement is governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

11.2 If the Licensee is a merchant, a legal entity under public law, or a special fund under public law, the Licensor’s place of business shall – to the extent permitted by law – be the exclusive place of jurisdiction for all disputes arising out of or in connection with this Agreement. Mandatory statutory rules on jurisdiction, particularly those protecting consumers, remain unaffected.

12. Final Provisions

12.1 Should individual provisions of this Agreement be or become invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.

12.2 Amendments and additions to this Agreement must be made in text form.

By installing or using VinylSafe, the Licensee confirms having read and understood this Agreement and agreeing to its terms.
